By accessing or using the Nudos website or platform (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.
2. About Nudos
Nudos is a technology platform that uses Computer Vision and AI to structure vessel data for marine underwriting. The Service provides risk analysis tools, condition scoring, valuation outputs, and premium calculations based on user-submitted inputs.
3. Eligibility
The Service is intended for business use by insurers, brokers, shipowners, marinas, surveyors, and their authorized representatives. By using the Service, you represent that you have the authority to bind the entity you represent.
4. Service description and limitations
The Service is a technology tool, not a regulated insurance product. In particular:
- Nudos is a technology provider, not a licensed insurer or insurance broker.
- Outputs such as risk scores, valuations, and premium calculations are decision-support tools, not binding insurance determinations.
- Final underwriting and claims decisions remain the responsibility of the contracting insurer or authorized party.
5. Account responsibilities and acceptable use
When you use the Service, you agree to:
- Provide accurate, current information when submitting data to the Service.
- Maintain the confidentiality of any credentials issued to you.
- Not reverse engineer, scrape, or attempt to derive the underlying models.
- Not use the Service in violation of applicable law or third-party rights.
6. Intellectual property
Nudos retains all right, title, and interest in and to the Service, including its software, models, methodologies, user interface, and any improvements or derivatives. These Terms do not grant you any license to Nudos intellectual property other than the limited right to use the Service as described here.
7. User-submitted data
You retain ownership of vessel imagery, documentation, and other data you submit. By submitting content, you grant Nudos a worldwide, non-exclusive license to process that content to deliver the Service, improve its models using anonymized data, and for internal analytics. Nudos does not sell your submitted content.
8. Disclaimers and limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, Nudos disclaims all implied warranties, including merchantability and fitness for a particular purpose.
Nudos is not liable for indirect, incidental, special, consequential, or exemplary damages. Nudos's total aggregate liability arising out of or related to these Terms shall not exceed the fees paid (if any) by you in the twelve (12) months preceding the event giving rise to the claim.
9. Termination
Nudos may suspend or terminate your access to the Service at any time for breach of these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination shall survive.
10. Governing law
For users contracting with the Uruguay entity, these Terms are governed by the laws of the Oriental Republic of Uruguay, with exclusive jurisdiction in the courts of Montevideo.
For users contracting with the United States entity, these Terms are governed by the laws of the State of Florida, with exclusive jurisdiction in the courts of Miami-Dade County, Florida.
